Terms and Conditions.

These Terms and Conditions (“Terms”) are a legally binding agreement between you (“you,” “your,” or “User”) and Consillium AI SRL, a company registered in Bucharest, Romania, with its registered office at Intrarea Cooperativei 14-18, Building 2, Floor 4, Apartament 32, Bucharest, Romania (“Consillium,” “we,” “us,” or “our”).

By creating an account or using any part of the Consillium platform at consillium.app (the “Service”), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to create an account or use the Service. By registering, you represent and warrant that you are at least 18 years old. If we learn that a user is under 18, we will terminate their account and delete their data.

2. Account Registration

2.1. You may register for an account using Google authentication or any other method we make available. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

2.2. You agree to provide accurate and complete information during registration and to keep your account information current.

2.3. You may not create more than one account, share your account with others, or transfer your account to another person.

2.4. You must notify us immediately at support@consillium.app if you believe your account has been compromised.

3. Description of Service

3.1. Consillium is a platform that uses artificial intelligence to scan news sources, identify potential business opportunities, generate business ideas, provide research and analysis, and facilitate advisory sessions with AI-powered advisors (the “Council”). The Service also provides educational content in the form of daily lessons.

3.2. All content generated by the Service, including but not limited to business ideas, research reports, market analysis, plans, and advisor opinions, is produced by artificial intelligence. The advisors are AI personas, not real people. Nothing produced by the Service constitutes professional financial, legal, investment, or business advice.

3.3. You acknowledge that AI-generated content may contain errors, inaccuracies, outdated information, or biases. You are solely responsible for evaluating and verifying any information or recommendation before acting on it. Consillium does not guarantee the accuracy, completeness, timeliness, or reliability of any content generated by the Service.

3.4. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

4. Subscription Plans and Credits

4.1. The Service is available under three tiers:

  • Free: No charge. Includes access to daily news, daily lessons, idea cards, one full idea development cycle (seed through plan) on your first idea, and 300 credits per month thereafter.
  • Pro: $49 per month or $490 per year. Includes all Free features plus 1,500 credits per month, full idea development on all ideas, full Council chamber access, and persistent business context.
  • Max: $99 per month or $899 per year. Includes all Pro features plus 5,000 credits per month, priority model quality, and deeper research passes.

4.2. Credits are the unit of usage within the Service. Different actions consume different amounts of credits based on the computational resources required. Credits are allocated at the start of each billing cycle and expire at the end of that cycle. Unused credits do not roll over to the next billing cycle.

4.3. We reserve the right to change pricing, credit allocations, and plan features. If you are on a paid plan, we will notify you at least 30 days before any price increase takes effect. You may cancel before the new pricing applies.

4.4. Specific credit costs for individual actions may vary and are displayed within the Service before you confirm an action that consumes credits.

5. Payments

5.1. All payments are processed by Stripe, Inc. (“Stripe”). By subscribing to a paid plan, you agree to Stripe’s terms of service (available at https://stripe.com/legal). We do not store your full payment card details on our servers.

5.2. Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually, depending on your plan) unless you cancel before the renewal date.

5.3. All prices are stated in US Dollars (USD). You are responsible for any currency conversion fees, taxes, or other charges imposed by your bank or payment provider.

5.4. If applicable, value-added tax (VAT) or other sales taxes will be added to the stated price based on your location and applicable law.

6. Cancellation

6.1. You may cancel your paid subscription at any time through your account settings or by contacting support@consillium.app.

6.2. Upon cancellation, you will retain access to your paid plan features until the end of your current billing period. After that, your account will be downgraded to the Free tier. Your data, including past conversations, deliverables, and saved ideas, will remain accessible under the Free tier unless you delete your account.

6.3. If you are on an annual plan and cancel partway through the year, you will retain access until the end of the annual period you paid for.

7. Refund Policy

7.1. All purchases are final. We do not offer refunds for subscription fees, credit purchases, or any other charges, except where required by applicable law.

7.2. In exceptional circumstances, we may, at our sole discretion, issue a full or partial refund. Any such refund does not create an obligation to offer refunds in the future.

7.3. If you believe you have been charged in error, contact support@consillium.app within 14 days of the charge.

8. AI-Generated Content and Intellectual Property

8.1. Your content. Any information, data, or material you provide to the Service (your company profile, questions, inputs) remains yours. By using the Service, you grant Consillium a limited, non-exclusive, worldwide license to use your inputs solely for the purpose of providing and improving the Service.

8.2. Generated output. To the extent that Consillium holds any rights in content generated by the Service in response to your inputs (including ideas, plans, research reports, and advisor responses), we assign and transfer those rights to you. You are free to use, modify, distribute, and commercialize any output generated for you through the Service.

8.3. Important limitation on AI-generated content. The legal status of ownership and copyright protection for AI-generated content is evolving and varies by jurisdiction. We make no representation or warranty that AI-generated output qualifies for copyright protection or any other form of intellectual property protection in your jurisdiction. You use and rely on generated content at your own risk.

8.4. Our intellectual property. The Service itself, including its design, code, branding, trademarks, logos, advisor personas, the name “Consillium,” and all underlying technology, is and remains the exclusive property of Consillium AI SRL. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written permission.

8.5. Feedback. If you provide suggestions, feature requests, or other feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

9. Acceptable Use

9.1. You agree not to use the Service to:

  • (a) violate any applicable law or regulation;
  • (b) infringe the intellectual property or other rights of any third party;
  • (c) generate, store, or distribute content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable;
  • (d) attempt to reverse-engineer, decompile, or extract the source code or underlying models of the Service;
  • (e) access or use the Service through automated means (bots, scrapers, or similar) except through our official interfaces;
  • (f) resell, sublicense, or commercially redistribute the Service itself or access to it;
  • (g) interfere with the operation of the Service or other users’ use of it;
  • (h) circumvent any access controls, usage limits, or credit restrictions;
  • (i) impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • (j) use the Service to generate spam, phishing content, or deceptive material.

9.2. We reserve the right to suspend or terminate your account, without refund, if we reasonably determine that you have violated these Terms.

10. Disclaimers

10.1. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

10.2. CONSILLIUM IS NOT A FINANCIAL ADVISOR, INVESTMENT ADVISOR, LEGAL ADVISOR, OR BUSINESS CONSULTANT. THE SERVICE DOES NOT PROVIDE PROFESSIONAL ADVICE OF ANY KIND. ALL AI-GENERATED IDEAS, PLANS, RESEARCH, AND RECOMMENDATIONS ARE FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS BEFORE MAKING ANY FINANCIAL, LEGAL, OR BUSINESS DECISIONS.

10.3. WE DO NOT GUARANTEE THAT ANY BUSINESS IDEA, PLAN, OR RECOMMENDATION GENERATED BY THE SERVICE WILL RESULT IN ANY PARTICULAR OUTCOME, REVENUE, OR SUCCESS. BUSINESS INVOLVES INHERENT RISK, AND PAST OR PROJECTED PERFORMANCE DESCRIBED IN ANY OUTPUT IS NOT A GUARANTEE OF FUTURE RESULTS.

10.4. We do not guarantee uninterrupted, error-free, or secure operation of the Service. We are not liable for any loss of data, downtime, or service interruptions.

10.5. News content, market data, and external information displayed within the Service is sourced from third-party providers. We do not guarantee its accuracy, completeness, or timeliness.

11. Limitation of Liability

11.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONSILLIUM AI SRL, ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

11.3. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless Consillium AI SRL, its directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any business decisions you make based on content generated by the Service.

13. Account Termination

13.1. By you. You may delete your account at any time through the self-service option in your account settings. Upon deletion, your data will be removed in accordance with our Privacy Policy (within 30 days), except where retention is required by law.

13.2. By us. We may suspend or terminate your account at any time, with or without cause, and with or without notice. If we terminate your account without cause and you are on a paid plan, we will refund the pro-rated unused portion of your current billing period. If we terminate your account for violation of these Terms, no refund will be issued.

14. Modifications to These Terms

14.1. We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect.

14.2. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service and may delete your account.

15. Governing Law and Dispute Resolution

15.1. These Terms are governed by and construed in accordance with the laws of Romania, without regard to conflict of law principles.

15.2. If you are a consumer residing in the European Union, you also benefit from any mandatory provisions of the consumer protection laws of your country of residence. Nothing in these Terms affects your rights as a consumer under such mandatory provisions.

15.3. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Bucharest, Romania, except where mandatory local law grants you the right to bring proceedings in your country of residence.

15.4. If you are a consumer residing in the European Union, you may also use the European Commission’s Online Dispute Resolution platform, available at https://ec.europa.eu/consumers/odr.

16. General Provisions

16.1. Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full effect.

16.2. Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

16.3. Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Consillium regarding the Service and supersede all prior agreements and understandings.

16.4. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5. Force majeure. We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or failures of third-party service providers.
